These Terms of Service ("Terms") constitute a legally binding agreement between you (the "User", "you", or "your") and Atenea Labs OÜ (registry code 16668881), a private limited company incorporated under the laws of the Republic of Estonia, with its registered office at Harju maakond, Tallinn, Kesklinna linnaosa, Sakala tn 7-2, 10141, Estonia (trading as "Neuronos", "we", "us", or "our"). By accessing or using the Neuronos platform at neuronos.app, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. You must be at least eighteen (18) years of age to use the Service. If you do not agree with these Terms, you must not access or use the platform.
Neuronos is a cloud-based Software as a Service (SaaS) platform that enables users to create, configure, deploy, and manage autonomous AI agents ("Workers") that execute business tasks through natural language instructions. Workers are powered by third-party large language models (LLMs) and can communicate across multiple channels including web chat, WhatsApp, Telegram, Slack, and Discord. Workers may be equipped with tools that allow them to read and write files, execute shell commands, browse the web, search information, and interact with external services — all within configurable permission boundaries set by the User. The Service includes workspace management, team collaboration, workflow automation, analytics, document storage, and billing management. Neuronos operates a multi-tenant architecture where each workspace is logically isolated. The Service is provided "as is" and may be modified, updated, or discontinued at any time in accordance with these Terms.
To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including actions executed by AI Workers configured in your workspace. You must immediately notify us at support@neuronos.app if you become aware of any unauthorized use of your account or any other breach of security. We reserve the right to suspend or terminate accounts that provide false or misleading registration information. You may not share your account credentials with third parties, create multiple accounts to circumvent service limits, or use another person's account without authorization. Neuronos is not liable for any loss or damage arising from your failure to maintain the security of your account credentials, including but not limited to unauthorized access to your Workers, unintended tool executions, or data exfiltration resulting from compromised credentials.
The Service is offered through subscription plans with varying levels of credits, workers, and features. All prices are quoted in Euros (EUR) and are exclusive of applicable Value Added Tax (VAT), which will be added at the applicable rate. Subscription fees are billed in advance on a monthly or annual basis. Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. Credit overage charges are billed at the per-credit rate specified in your plan and invoiced at the end of each billing period. Payment processing is handled exclusively by Stripe Inc. You authorize Stripe to charge your designated payment method for all fees incurred. Non-payment may result in immediate suspension of your account and deactivation of all active Workers. Refunds are not provided for partial billing periods, unused credits, or plan downgrades, except as required by applicable consumer protection law.
New accounts are eligible for a free trial period of seven (7) days, which includes two hundred (200) credits and one (1) Worker. No payment card is required to start the free trial. During the trial, you have access to the core platform features subject to trial limitations. At the end of the trial period, your account will be automatically suspended unless you subscribe to a paid plan. Suspended trial accounts and their associated data will be retained for thirty (30) days, after which they will be permanently deleted. We reserve the right to modify, limit, or discontinue the free trial offer at any time without prior notice. Free trial accounts are limited to one per individual or organization. Abuse of the free trial system (including creation of multiple accounts) may result in immediate cancellation of all associated accounts.
AI Workers on the Neuronos platform operate autonomously within the boundaries configured by the User, including assigned skills, tool permissions, communication channels, and workflow rules. Workers are powered by third-party large language models and generate outputs based on the prompts, instructions, context, and data provided by the User. YOU ACKNOWLEDGE AND AGREE THAT: (a) AI Workers are probabilistic systems that may produce outputs that are inaccurate, incomplete, misleading, biased, hallucinated, or otherwise unsuitable for the intended purpose; (b) Neuronos does not guarantee the accuracy, reliability, completeness, timeliness, or fitness for any particular purpose of any AI-generated output; (c) you are solely responsible for reviewing, validating, and verifying all AI outputs before relying on them for any business, legal, financial, medical, or other consequential decision; (d) Neuronos shall not be liable for any loss, damage, or harm arising from your reliance on AI-generated outputs, including but not limited to erroneous business decisions, financial losses, reputational damage, or legal consequences; (e) Workers operate based on probabilistic language models and may behave unpredictably in edge cases, novel scenarios, or when faced with adversarial inputs; (f) Worker outputs may vary between executions even with identical inputs due to the stochastic nature of AI models; (g) you are responsible for establishing human oversight mechanisms proportional to the risk of the tasks delegated to Workers.
Workers may be granted access to tools that perform actions with real-world consequences, including but not limited to: reading and writing files in the workspace, executing shell commands and scripts, browsing websites, fetching web content, searching the internet, and interacting with external APIs and services. You are solely responsible for configuring appropriate tool permissions for each Worker. Tools are classified into permission levels: Allowed (execute without approval), Elevated (require human approval before execution), and Denied (blocked entirely). Neuronos provides sandboxed execution environments with resource limits and network restrictions for Worker tool execution. However, YOU ACKNOWLEDGE AND AGREE THAT: (a) you are solely responsible for the consequences of tool executions performed by your Workers within their permitted scope, including any damage to your own or third-party systems; (b) Neuronos is not liable for any data loss, system damage, security incident, confidential information exposure, or unintended consequence resulting from tool executions authorized by your permission configuration; (c) elevated tool permissions should be used for any action that may have irreversible or significant consequences; (d) you must regularly audit your Workers' tool permissions and execution logs; (e) granting excessive permissions to a Worker constitutes an assumption of risk on your part; (f) Neuronos does not guarantee that sandbox mechanisms are infallible and shall not be liable for sandbox escapes resulting from vulnerabilities in third-party components.
AI language models are inherently susceptible to prompt injection, jailbreaking, indirect prompt injection, data extraction, context manipulation, and other adversarial attack techniques where malicious inputs may cause a Worker to deviate from its intended behavior, bypass system instructions, reveal confidential information, execute unauthorized actions, or produce harmful outputs. YOU ACKNOWLEDGE AND AGREE THAT: (a) you are responsible for the security and integrity of all prompts, instructions, data, and content you provide to Workers, including data from third parties, end users, or automated sources; (b) Neuronos implements reasonable security measures including sandboxed execution, permission controls, approval workflows, and content filtering, but does not and cannot guarantee protection against all forms of prompt injection, adversarial attacks, or AI manipulation techniques, as these threats constantly evolve and are inherent to current language model technology; (c) Neuronos is not liable for actions performed by Workers resulting from manipulated, adversarial, malicious, or deceptive inputs, whether provided by you, your end users, third parties, or injected through web content, documents, emails, or other external sources processed by Workers; (d) if your Workers process untrusted inputs from external sources (e.g., customer emails, web forms, API requests, third-party uploaded documents, scraped web content), you are solely responsible for implementing appropriate input validation, sanitization, and oversight measures; (e) you must configure elevated approval requirements for Workers that process untrusted external inputs; (f) Neuronos shall not be liable for data exfiltration, malicious code execution, confidential information disclosure, or any other consequence arising from successful prompt injection attacks against your Workers; (g) you assume the inherent risk of using autonomous AI agents that process inputs from uncontrolled sources.
You agree to use the Service only for lawful purposes and in compliance with these Terms. You shall not, and shall not permit your Workers to: (a) violate any applicable local, national, or international law or regulation, including but not limited to data protection, intellectual property, unfair competition, and export control laws; (b) generate, store, or distribute illegal, defamatory, obscene, threatening, harassing, discriminatory, or rights-infringing content; (c) attempt to gain unauthorized access to any part of the Service, other users' accounts, or any connected system or network; (d) circumvent, disable, or interfere with any security feature, rate limiting, sandbox, or access control of the Service; (e) reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform or the underlying AI models; (f) use the Service to develop a competing product or service, or to perform competitive benchmarking without prior written authorization; (g) resell, sublicense, or redistribute access to the Service without our prior written consent; (h) use the Service to send unsolicited communications (spam), phishing, or for any form of automated abuse; (i) upload or transmit viruses, malware, ransomware, or any other malicious code; (j) use Workers to perform prompt injection attacks, jailbreaking, or any other adversarial technique against other systems, services, or users; (k) use the Service to generate content that violates copyrights, trademarks, or other intellectual property rights of third parties; (l) use Workers to make automated decisions that produce significant legal effects on individuals without adequate human oversight. We reserve the right to investigate and take appropriate action against any violation of this section, including immediate account suspension or termination without refund.
The Neuronos platform, including its software, design, branding, documentation, APIs, and all related intellectual property, is and remains the exclusive property of Atenea Labs OÜ and is protected by applicable copyright, trademark, and other intellectual property laws. You retain full ownership of all data, content, documents, and materials you upload to or create within the Service ("User Content"). You grant Neuronos a limited, non-exclusive, worldwide, royalty-free, and revocable license to use, process, and store your User Content solely for the purpose of providing the Service. This license automatically terminates upon deletion of your account and data. Regarding AI-generated outputs: you own the outputs generated by your Workers to the extent permitted by applicable law. Neuronos does not claim any ownership rights over AI-generated outputs produced for you. However, given the nature of AI language models, similar or identical outputs may be independently generated for other users from different inputs, and Neuronos does not guarantee the exclusivity or originality of any AI-generated output.
Neuronos processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Estonian data protection law. Our Privacy Policy, available at neuronos.app/privacy, describes in detail how we collect, use, store, and protect your personal data. For customers who require a formal Data Processing Agreement (DPA) under Art. 28 GDPR, we provide a DPA upon request at legal@neuronos.app. The DPA covers the processing of personal data by Neuronos as data processor on behalf of the customer as data controller, including the categories of data processed, the purposes of processing, sub-processor obligations, and data subject rights. You are responsible for ensuring that you have a lawful basis for processing any personal data you submit to the Service, including data processed by your AI Workers. You acknowledge that data processed by AI Workers may be transmitted to third-party AI model providers as described in our Privacy Policy, and it is your responsibility to inform your end users of such processing where applicable.
Neuronos strives to maintain high Service availability but does not guarantee uninterrupted uptime. The Service may experience planned interruptions (scheduled maintenance, of which reasonable advance notice will be provided) and unplanned interruptions (infrastructure failures, security incidents, emergency updates, or third-party provider outages). Neuronos shall not be liable for any loss or damage arising from temporary Service unavailability, including but not limited to interruption of active Workers, loss of in-transit messages, or inability to access data during downtime. For Enterprise customers, specific service levels (SLA) will be negotiated and documented in a separate agreement. Neuronos reserves the right to temporarily limit, degrade, or suspend access to the Service to protect platform integrity, respond to security incidents, or comply with legal obligations.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. NEURONOS EXPRESSLY DISCLAIMS ALL WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF AI-GENERATED OUTPUTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (a) Atenea Labs OÜ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, or anticipated savings, arising from or in connection with your use of the Service; (b) Atenea Labs OÜ shall not be liable for any damages arising from AI Worker outputs, tool executions, autonomous agent behavior, decisions made based on AI-generated content, or actions executed by Workers as a result of prompt injection, adversarial attacks, or other manipulation techniques; (c) Atenea Labs OÜ shall not be liable for damages arising from the interaction of your Workers with third-party systems, services, or data, including corruption, loss, or unauthorized exposure of data; (d) Atenea Labs OÜ shall not be liable for damages caused by service interruptions of third-party infrastructure, AI model, or payment processing providers; (e) Atenea Labs OÜ's total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the total amount of fees actually paid by you to Neuronos in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred euros (€100), whichever is greater. These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if Neuronos has been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, willful misconduct, or any other liability that cannot be excluded or limited under applicable law.
You agree to indemnify, defend, and hold harmless Atenea Labs OÜ, its officers, directors, employees, agents, affiliates, and service providers from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees and litigation costs) arising from or in connection with: (a) your use of the Service or any activity under your account; (b) your breach of these Terms or any applicable law or regulation; (c) your reliance on or use of AI-generated outputs for any purpose; (d) any claim that your User Content, prompts, or data infringe or violate the intellectual property rights, privacy rights, or other rights of third parties; (e) any damage caused by tool executions performed by your Workers, including damage to third-party systems, data, or services; (f) any claim arising from data you process through the Service for which you did not have the legal right or adequate consent to process; (g) any action performed by your Workers that causes harm to third parties, including actions resulting from prompt injection or adversarial attacks against your Workers; (h) any breach of data protection laws arising from your configuration or use of AI Workers; (i) any third-party claim arising from the interaction of your Workers with external services. This indemnification obligation survives the termination of these Terms and your use of the Service.
Neuronos shall not be liable for any failure or delay in performing its obligations under these Terms when such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to: natural disasters, pandemics, acts of war or terrorism, government sanctions, embargoes, internet infrastructure failures, denial-of-service (DDoS) attacks, cyberattacks, cloud service provider outages, regulatory changes affecting the provision of AI services, restrictions or discontinuation of AI models by third-party providers, or any other force majeure event. During a force majeure event, Neuronos's affected obligations shall be suspended for the duration of the event. If a force majeure event persists for more than sixty (60) consecutive days, either party may terminate these Terms by written notice.
You acknowledge that the regulation of artificial intelligence is rapidly evolving worldwide, including but not limited to the EU Artificial Intelligence Act (AI Act, Regulation (EU) 2024/1689). Neuronos strives to comply with applicable AI legislation but does not guarantee that the Service meets all regulatory requirements specific to your industry, jurisdiction, or particular use case. You are solely responsible for: (a) evaluating whether your use of AI Workers complies with applicable laws and regulations in your jurisdiction, including obligations under the EU AI Act for high-risk AI systems; (b) implementing the human oversight, transparency, and documentation measures required by applicable legislation; (c) informing your end users and customers when they are interacting with an AI system and not a human person; (d) conducting impact assessments when required by applicable legislation; (e) maintaining adequate records of AI usage in accordance with regulatory requirements. Neuronos may modify the Service to comply with new regulatory requirements, and such modifications shall not constitute a breach of these Terms.
Either party may terminate these Terms at any time. You may terminate by deleting your account through the platform settings or by contacting us at support@neuronos.app. We may terminate or suspend your access to the Service immediately, without prior notice or liability, if: (a) you breach any material provision of these Terms; (b) you fail to pay fees when due after a seven (7) day grace period; (c) we are required to do so by law, court order, or governmental request; (d) we reasonably believe your use of the Service poses a security risk, may cause harm to other users, third parties, or the integrity of the platform; (e) we detect fraudulent, abusive, or acceptable use policy-violating activity; (f) your account remains inactive for more than twelve (12) consecutive months. Upon termination: your right to access and use the Service ceases immediately; all active Workers are deactivated immediately; your data will be retained for thirty (30) days to allow for data export, after which it will be permanently deleted; outstanding fees remain due and payable; provisions that by their nature should survive termination (including Limitation of Liability, Indemnification, Intellectual Property, Force Majeure, and Governing Law) shall continue in full force and effect.
These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms or the Service shall be submitted to the exclusive jurisdiction of the Harju County Court, Tallinn, Estonia. Notwithstanding the foregoing, if you are a consumer resident in the European Union, you retain the benefit of any mandatory consumer protection provisions of the law of your country of residence, and you may bring proceedings in the courts of your country of residence in accordance with Regulation (EU) 1215/2012. For EU consumers, the European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. Nothing in these Terms affects your rights as a consumer under applicable EU or national consumer protection law. Before initiating any legal proceedings, the parties agree to attempt to resolve the dispute in good faith through direct negotiation for a period of thirty (30) days.
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms without affecting the validity or enforceability of the remaining provisions. The failure of Neuronos to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision, nor shall it prevent its future exercise. These Terms, together with the Privacy Policy and any applicable DPA, constitute the entire agreement between you and Atenea Labs OÜ regarding the Service and supersede all prior agreements, understandings, and communications, whether oral or written.
We reserve the right to modify these Terms at any time. Material changes — including changes to pricing, liability limitations, data processing practices, or scope of indemnification clauses — will be communicated via email to the address associated with your account and through a prominent notice on the platform at least thirty (30) days before the changes take effect. Non-material changes (such as formatting, clarifications, or typographical corrections) may be made without prior notice. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree with the modified Terms, you must stop using the Service and may cancel your account. For material changes, we will provide a mechanism to reject the new terms, in which case the previous Terms will continue to apply until the end of your current billing period.
